Terms and Conditions for Dropshipping Agreement
1. Introduction
1.1 Acceptance of Terms: By engaging in dropshipping with Johnny Rich Corporation or JR Cervecero Enterprise (sister company of Johnny Rich Corporation), the Dropshipping Partner agrees to comply with and be bound by these terms and conditions.
1.2 Modification:Johnny Rich Corporation reserves the right to modify these terms at any time. Changes will become effective immediately upon posting. It is the Dropshipping Partner's responsibility to review these terms regularly.
2. Products and Pricing
2.1 Product Information: Johnny Rich Corporation or JR Cervecero Enterprise (sister company of Johnny Rich Corporation) will provide the Dropshipping Partner with detailed information about the products available for dropshipping, including specifications, pricing, and any relevant terms.
2.2 Pricing Changes: Johnny Rich Corporation or JR Cervecero Enterprise (sister company of Johnny Rich Corporation) reserves the right to change product prices at any time. However, prices for confirmed orders will not be affected.
3. Ordering and Fulfillment
3.1 Order Placement: The Dropshipping Partner is responsible for submitting orders accurately and promptly through the agreed-upon process. Orders should include all necessary details, such as product specifications, quantities, and shipping information.
3.2 Payment: The Dropshipping Partner agrees to pay Johnny Rich Corporation or JR Cervecero Enterprise (sister company of Johnny Rich Corporation) the agreed-upon price for each product ordered. Payments should be made according to the terms specified in the agreement.
3.3 Fulfillment: Johnny Rich Corporation or JR Cervecero Enterprise (sister company of Johnny Rich Corporation) will be responsible for packaging and shipping the ordered products directly to the end customers.
4. Intellectual Property
4.1 Ownership: All intellectual property rights related to the products, including trademarks, copyrights, and any proprietary information, remain the property of Johnny Rich Corporation.
4.2 Use of Marks: The Dropshipping Partner is granted a limited, non-exclusive license to use Johnny Rich Corporation's trademarks and branding materials solely for the purpose of marketing and selling the products.
5. Responsibilities of the Dropshipping Partner
5.1 Marketing: The Dropshipping Partner is responsible for marketing the products, managing customer inquiries, and promoting Johnny Rich Corporation's brand positively.
5.2 Compliance: The Dropshipping Partner shall comply with all applicable laws and regulations related to the sale and marketing of the products.
6. Term and Termination
6.1 Term: The agreement shall commence on the Effective Date and continue until terminated by either party with written notice.
6.2 Termination: Either party may terminate this agreement with immediate effect for a material breach of the terms herein.
7. Confidentiality
7.1 Confidential Information: Both parties agree to keep confidential any proprietary or confidential information disclosed during the course of this agreement.
8. Governing Law
8.1 Jurisdiction: This agreement shall be governed by and construed in accordance with the laws of United States.
By engaging in dropshipping with Johnny Rich Corporation, the Dropshipping Partner acknowledges that they have read, understood, and agreed to the terms and conditions outlined in this agreement.
